Roles, responsibilities of board directors

MANILA, Philippines — An effective and well-functioning board starts with knowing the roles, responsibilities, and liabilities of all members, as well as their functions in different committees they are assigned to.

As part of the Center for Global Best Practices’ advocacy for board effectiveness, it will feature a special webinar entitled, Roles, Responsibilities and Liabilities of Board Directors scheduled on Friday, Nov. 19 from 2 to 4 p.m. via Zoom.

This training is designed to update board directors on their key duties and responsibilities based on SEC MC 24, Series of 2019, SEC MC 19, Series of 2016, Republic Act 11232 or the 2019 Revised Corporation Code, and Republic Act 8799 or the Securities Regulation Code.

This program will also provide attendees with a comprehensive guide on issues regarding composition, term of office, governance responsibilities, fiduciary obligations, disclosure and transparency, frameworks on internal control system and risk management, cultivating a synergistic relationship with shareholders and more.

Learn from lawyer Justina Callangan who was the former director of the Corporate Governance and Finance Department of the Securities and Exchange Commission. Her responsibilities included supervision of all Philippine corporations to ensure all organizations registered with the SEC abide by its governing laws, rules, regulations and corporate governance compliance.

Presently, she sits in the board of three publicly listed firms – Orix Metro Leasing and Finance Corporation, Panasonic Manufacturing Philippines Corp. and Vista Land & Lifescapes, Inc.

This program is accredited by the SEC for corporate governance. Registration is open to the general public. This is applicable to all types of corporations including stock, non-stock, non-profit corporations, foundations, schools as corporate entities, public and publicly-listed corporations, and GOCCs with a corporate structure under the SEC.
