TUBIG: Plans share offering after public float falls

From AB Capital's The Opening Bell: Three Moves

Event

Tubig Pilipinas' share-swap transaction increased its outstanding shares to 106.46 billion, reducing public float to 10.64% from 28.31%, below the PSE's 20% minimum requirement. The company is pursuing fundraising activities, potentially including a follow-on offering, to restore compliance. A previously announced plan contemplated raising P1.8 billion, although the latest offering size, pricing and timing remain to be confirmed.

View

Neutral for MWC and MYNLD; limited direct fundamental read-through. A Tubig Pilipinas offering could compete for investor demand at the margin, but we would not infer a sector-wide valuation impact from this development alone. MWC and MYNLD have established concession-based operating businesses, whereas Tubig Pilipinas is raising capital to fund ongoing and planned projects. Their respective earnings, tariffs, capex requirements and balance sheets remain the more important valuation drivers.

Catalyst

The planned offering could increase the supply of listed water-sector shares and give investors another avenue for exposure to water infrastructure. For Manila Water (MWC) and Maynilad (MYNLD), the read-through is potentially competitive for investor attention and capital flows, particularly if the offering is priced attractively. However, Tubig Pilipinas' need to restore its public float is company-specific and does not, by itself, signal a change in the fundamentals or regulatory outlook of the two listed concessionaires.

Action

Maintain existing views on MWC and MYNLD; monitor the offering rather than adjust estimates or target prices. Watch the final offer size, pricing, use of proceeds and investor demand. Reassess the read-through only if the offering establishes a meaningful new valuation benchmark for water assets or indicates a material shift in competition for capital.
