ICTSI plans to acquire the remaining 30% stake in iTracker Logistica Inteligente, taking full ownership of the Brazil-based logistics company. iTracker provides integrated logistics services around the Port of Rio de Janeiro, including road freight, container transportation, empty container depot operations and warehousing.

View

We view the transaction as strategically positive but not a near-term earnings driver. The acquisition should modestly enhance ICTSI's value-added logistics capabilities and strengthen its competitive positioning in Brazil, although the immediate financial contribution is likely to be limited relative to ICTSI's global port portfolio. The bigger investment thesis remains robust volume growth, continued tariff optimization, industry-leading EBITDA margins and disciplined capital allocation.

Catalyst

Positive. While financially small, the acquisition reinforces ICTSI's strategy of expanding beyond port operations into higher-value integrated logistics services. Full ownership gives ICTSI greater flexibility to integrate iTracker with its Brazilian port operations, optimize the supply chain, capture a larger share of logistics spending and improve cross-selling opportunities. It also follows the recent acquisition of CRAGEA, highlighting management's continued push to build a broader logistics ecosystem rather than relying solely on terminal handling revenues.

Action

Accumulate. We maintain our positive view on ICTSI. The acquisition supports management's long-term strategy of deepening its logistics offering and increasing wallet share across customers, but does not materially change our earnings forecasts or investment thesis. We continue to view ICTSI as one of the highest-quality infrastructure growth stories in emerging markets.
