ABS-CBN AT TV5 kasado na ang landmark deal, iba pang programa ng Kapamilya nasa free TV na ulit!
Pormal nang inanunsyo ng ABS-CBN Corporation at TV5 Network, Inc. ang pagpapatupad ng Investment Agreement na magpapahintulot sa ABS-CBN na makakuha ng 6, 459, 393 primary common shares sa TV5 na kumakatawan sa 34.99 % ng total voting and outstanding capital stock of TV5 for an aggregate subscription price of P2.16Bn.
Matapos makumpleto ang subscription na ito, ang equity ng MediaQuest group sa TV5 ay binubuo ng 64.79% voting at outstanding capital stock kaya’t ang MediaQuest group ay mananatiling controlling shareholder ng TV5.
Kasabay ng pagpapatupad ng Investment Agreement, ang dalawang parties will execute a Convertible Note Agreement pursuant to which ABS-CBN to invest in a Convertible Note with a face value of P1.84Bn to be issued by TV5 (the “Convertible Note”). The Convertible Note will allow ABS-CBN, subject to obtaining applicable regulatory approvals, upang makakuha ng additional primary common shares of TV5 after 8 years from the issuance of the Convertible Note, and thereby increase its equity in TV5 to no more than 49.92% of the outstanding capital stock of TV5.
Ang kikitain ng subscription sa primary common shares at ang Convertible Note sa kabuuang halaga na P4Bn ay magpopondo sa mga capital expenditure at operating expenses ng TV5 sa pagpupursige sa pagpapahusay ng content, programming at public service offering nito.
Ang transaksyong ito ay malinaw na transformational para sa parehong mga kumpanya upang mapahusay ang kakayahan ng TV5 na maghatid ng mas malawak na coverage sa Pilipino viewers sa entertainment, balita, sports at public service.
Ito ay naaayon din sa pambansang patakaran sa pagpapalawak ng tungkulin ng pribadong sektor sa pagsuporta sa mahusay at maaasahang mga serbisyong pampubliko, na inaasahang ibibigay ng TV5 sa pamamagitan ng nationwide network nito para mas tumaas pa ang kanilang coverage, lalo na sa mga malalayong lugar.
Ang nasabing transaction ay inaasahang makukumpleto ngayong August 2022, at magtatapos kung maaayos ang lahat ng mga kondisyon.

Ang landmark deal ay matapos dumami ang activities sa pagitan ng ABS-CBN at TV5 kung saan mas maraming Kapamilya programs na ang ipinalalabas sa Kapatid Network at nakabalik sa free TV.
